By accessing, browsing, or using the Noir platform ("Platform," "Service," "we," "us," or "our"), including through any website or API, you ("User," "Client," "you") acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms in their entirety, you must immediately cease using the Platform and close any account you may have created.

We reserve the right to modify these Terms at any time. Continued use of the Platform following the posting of revised Terms constitutes acceptance of those changes. We will provide notice of material changes via email or a prominent notice on the Platform.

Noir is a private booking platform that connects adult clients with independent Companions for personal companionship engagements. The Platform provides scheduling, communication, and payment infrastructure to support these arrangements in a discreet, safe, and professional environment.

Nature of Services

Companions on this Platform offer private companionship services to adult clients. The scope, nature, and terms of each engagement are agreed upon exclusively between the Client and the Companion. Noir acts solely as an introduction and booking intermediary and is not a party to any arrangement between Client and Companion.

Independent Contractor Relationship

All Companions listed on the Platform are independent service providers, not employees, agents, or representatives of Noir. Companions set their own rates, availability, and the scope of their services. Noir does not direct or control Companion conduct beyond the published standards of this platform.

Any booking agreement is between the Client and the Companion directly. Noir is not a party to any such agreement and bears no liability for the conduct of either party during an engagement.

You must meet the following requirements to use the Platform:

• You must be at least 18 years of age, or the legal age of majority in your jurisdiction, whichever is greater.
• You must have the legal capacity to enter into binding contracts.
• You must not be prohibited from accessing adult platforms under applicable laws.
• You must not have been previously suspended or removed from the Platform.
• You must provide accurate, truthful information during registration and at all times.

We reserve the right to request proof of age or identity at any time. Failure to provide adequate verification will result in account suspension until verification is completed.

To access certain features, you must register an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security and confidentiality of your login credentials.
• Notify us immediately of any unauthorized access to your account.
• Accept responsibility for all activity that occurs under your account.
• Not share your account credentials with any third party.

Noir reserves the right to refuse registration or terminate accounts at its sole discretion, particularly where these Terms have been violated.

Booking Requests

Clients may submit booking requests through the Platform. All bookings are subject to Companion availability and acceptance. A booking is confirmed only upon written confirmation from both the Companion and the Platform.

Payment Terms

Payment represents compensation for the Companion's time and companionship. Rates are set independently by each Companion and displayed on the Platform at the time of booking.

• All prices displayed are in the currency specified and are inclusive of applicable taxes unless otherwise noted.
• Payment is required in advance to confirm a booking.
• Noir processes payments on behalf of Companions as a limited payment collection agent.
• Noir's service fees, if any, are disclosed at the time of booking.

Cancellations

Cancellation terms are set forth in our Refund Policy, available at noireliteagency.co.uk/refund-policy. Please review this policy before completing a booking.

By using this Platform, you agree at all times to:

• Treat all Companions with dignity, courtesy, and respect at all times.
• Honor all confirmed bookings or cancel within the timeframe specified in the Refund Policy.
• Comply with all applicable local, national, and international laws.
• Not engage in harassment, threats, intimidation, or abusive conduct toward any Companion.
• Not record, photograph, or share any content involving a Companion without their explicit written consent.
• Not attempt to contact Companions outside of the Platform to circumvent fees.
• Maintain the confidentiality of information shared by Companions during engagements.
• Respect each Companion's stated boundaries and personal limits.

The following are strictly prohibited and will result in immediate account termination and may result in legal action or reporting to relevant authorities:

• Accessing or using the Platform if you are under 18 years of age.
• Any form of human trafficking, coercion, exploitation, or forced engagement.
• Using the Platform to recruit, control, or exploit Companions or third parties.
• Misrepresenting your identity, age, or intentions.
• Attempting to circumvent age or identity verification systems.
• Attempting to obtain sensitive personal information about Companions beyond what is shared voluntarily.
• Introducing or exposing minors to any aspect of the Platform.
• Using the Platform for any unlawful purpose under applicable law.

Companions who list their services on the Platform additionally agree to:

• Confirm that they are at least 18 years of age and provide valid government-issued identification upon request.
• Maintain accuracy of their profile, availability, and service descriptions.
• Treat all Clients with courtesy and professionalism.
• Comply with all applicable laws in their jurisdiction.
• Never engage in any arrangement that involves coercion, trafficking, or exploitation of any party.
• Notify Noir immediately of any conduct by a Client that is threatening, abusive, or unlawful.
• Not use the Platform to recruit other individuals into companionship arrangements against their will.

All content on the Platform, including text, graphics, logos, images, software, and design, is the property of Noir or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content without express written permission.

By submitting content to the Platform (including profile photos and descriptions), you grant Noir a non-exclusive, royalty-free, worldwide license to use, display, and distribute such content in connection with the operation of the Platform.

Your use of the Platform is governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. We take privacy and discretion seriously given the confidential nature of the services offered on this Platform.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Noir does not warrant that: (a) the Platform will be uninterrupted or error-free; (b) any Companion will meet your requirements; (c) any booking will be completed to your satisfaction; or (d) the Platform is free from viruses or other harmful components.

TO THE FULLEST EXTENT PERMITTED BY LAW, NOIR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF NOIR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Noir's total aggregate liability for any claim arising from or related to these Terms or the Platform shall not exceed the total amount paid by you to Noir in the twelve (12) months preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless Noir, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any content you submit to the Platform.

Noir may suspend or terminate your access to the Platform at any time, with or without cause or notice. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including Sections 7, 9, 11, 12, 13, and 14.

These Terms shall be governed by and construed in accordance with applicable law. Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved, disputes shall be submitted to binding arbitration.

You waive any right to bring claims as a class action or in any representative capacity to the fullest extent permitted by applicable law.
